Clauses that differ for consumers are marked Consumers.
1. Who we are and what these terms cover
1.1 OneActor is provided by ONE ACTOR- SOFTWARE DEVELOPMENT, UNIPESSOAL LDA., a Portuguese company with its registered office at Rua dos Barreiros, n.º 26 A, 9060-397 Funchal, Portugal, NIPC 519278267, share capital €10,000 ("OneActor", "we", "us"). Full details: legal notice. Contact: support@oneactor.com.
1.2 These terms govern your use of the OneActor website, dashboard, AI agents, workspaces and the hosting of the apps you build (together, the "Service"). They include the Acceptable Use Policy, the Data Processing Agreement (which applies when we process personal data for you), and the Refunds and withdrawal page. Our Privacy Policy explains how we handle your own personal data.
1.3 Consumers. If you use the Service for purposes outside your trade, business, craft or profession, you are a consumer. Nothing in these terms takes away rights that consumer law gives you, and where these terms say something different for consumers, that applies to you.
1.4 Businesses. If you accept these terms for a company or other organization, you confirm you may bind it, and "you" means that organization.
2. The Service
2.1 What it does. You describe software you want; AI agents that we provide (a Product Owner, architect, designer, developers, QA, a security reviewer and DevOps) plan it, build it and test it in a workspace for your project, and deploy it, when you ask, to test and production environments on cloud infrastructure that we operate. The product description on our website (How it works) describes the current features.
2.1a Intended purpose. OneActor is an AI system for planning, designing, building, testing and deploying software. It is not intended for, and must not be modified or used so as to become, a high-risk AI system within the meaning of the EU AI Act (Regulation (EU) 2024/1689, Art. 25(2) as amended by Regulation (EU) 2026/1744). If you build an app that is itself an AI system, or a product with digital elements, you are its provider or manufacturer under the AI Act and the Cyber Resilience Act.
2.2 What it builds. The agents build TypeScript web apps, APIs, background workers and scheduled jobs, and phone apps for Android and iPhone. Your apps run on our infrastructure, not in your own cloud account; your phone apps reach the app stores from your own developer accounts (5.7). Features change; we describe the current ones in the documentation.
2.3 AI. The agents are AI systems. They can be wrong, produce code with bugs or security flaws, misunderstand you, or do something you did not intend. They act only inside your project and only through the tools we give them, but you must review what they produce before you rely on it or publish it. Production cannot be switched on and no deploy happens without a person in your organization deciding it. See the AI transparency statement.
2.4 Changes to the Service. We improve the Service and may change features, AI models or providers, and limits. We will not reduce the main characteristics of what you have paid for during a paid period without telling you in advance. Consumers: we may change the Service beyond what is needed to keep it in conformity only for a valid reason stated here (security, legal requirements, replacing a model or provider, technical evolution), at no extra cost to you, with clear notice; if the change harms your access or use more than slightly, we tell you in advance on a durable medium and you may end the contract free of charge within 30 days, unless we keep the previous version available (Decreto-Lei n.º 84/2021, Art. 39).
3. Your account
3.1 You must be at least 18 years old and give accurate information. Keep your password secret, and the Google account you sign in with secure if you use one; you are responsible for what happens under your account until you tell us it was compromised.
3.2 An organization has one owner, who is responsible for its payments and decides on production. The owner may invite others and give them roles. You are responsible for the people you invite.
3.3 A freelancer or agency may create a project and invite the client to own and fund it. The client becomes the owner and our customer for that organization.
4. Plans, credits and payment
4.1 Merchant of Record. Plans and credits are sold to you through Link — Sold through Link, LLC, an affiliate of Stripe (United States) — our merchant of record. The checkout and your receipts show the purchase as "Sold through Link", and your card statement shows LINK.COM* followed by our name. Link takes your payment and calculates, collects and remits the VAT; for VAT, Link is treated as supplying the Service to you. Link invoices you in its own name, emails your receipts, invoices and refund notices, and executes refunds; Stripe handles payment disputes. Your payment to Link settles what you owe us for that order. The purchase is also subject to Link's Sold Through Link Terms, under which Link's refund policy applies where ours is more restrictive. We provide the Service and remain responsible to you for it, including your consumer rights concerning the Service.
4.2 Prices. Prices are on our pricing page and at checkout. Consumers see prices including VAT. Businesses may see prices without VAT; VAT is added or reverse-charged at checkout according to your location and VAT number.
4.3 Plans. A plan renews every month or year until cancelled. It gives you the number of projects it lists, and each month the credits it lists. Its price pays for two things: the included credits, provided in full when each month of the plan starts and valued at the price of a credit bought alone — reduced in the same proportion as the plan's price when you pay yearly, and never above the plan's price — and access to the plan's projects for the period, which is the rest. You can cancel at any time in the billing page; the plan then ends at the end of the period already paid, and you keep what it included until then. You can also cancel it in your Link account at link.com, and deleting your Link account cancels it too.
4.4 Credits. Credits are prepaid units that you can only use to pay for OneActor services. They are not money, cannot be exchanged for money, transferred to another organization, or withdrawn. Credits you buy do not expire while your account exists. Credits included in a plan are for the month they are provided with: those not used by the end of that month expire, and the next month's credits are provided when it starts. Credits included in a plan are used before credits you buy. Trial credits end with the trial.
4.5 Usage. AI requests, workspace time, storage and cloud usage beyond what a project includes are deducted from your credits at the rates published on our pricing page and in the dashboard. We may change a rate. We tell the organization's owners by email at least 30 days before a rate goes up, and you may end the contract before the increase applies; a lower rate applies as soon as it is published. A new rate never applies to usage already recorded. When your organization's own AI account serves a request (5.6), its tokens are not deducted at those rates: a gateway fee in credits is deducted instead, a share of what the same tokens cost on OneActor, which is 10% unless your contract with us sets another.
4.6 Balance and billing hold. Many actions need a positive credit balance. Usage already started is charged in full, so a balance can go below zero. If it does, we restrict the Service step by step: first new work stops; at −1 credit production is kept for 7 days while other environments are removed; if the balance is still not above zero on that date, the organization's projects are deleted as described in section 9. We email the owners at each step.
4.7 Refunds and withdrawal are described in Refunds and withdrawal.
4.8 Promotions. We may offer promotions that give credits for a purchase, automatically or with a code. Each promotion's conditions are shown where you enter its code and on the billing page, and apply together with these terms: who may use it (for example, only an organization's first purchase), the purchase that unlocks it (a credit pack, or a plan bought at checkout, with any minimum before VAT; a plan's renewal is not a purchase), how many credits it gives, its dates and how many times it can be used. A code you enter waits until your organization's next purchase that meets its conditions. When more than one promotion applies to a purchase, only the one that gives the most credits applies. Each promotion can be used once per organization and once per person. Promotion credits are used after all your other credits, expire after the number of months the promotion states (12 unless it says otherwise), cannot be exchanged for money and are not refunded. If the purchase that unlocked them is refunded or withdrawn from, what is left of them is removed; while a payment for that purchase is disputed, they are held. We may end or change a promotion for the future at any time; credits already added stay as described here.
5. Your content and your code
5.1 You own your content. Everything you, your users and the agents working for you put into or produce in your projects — descriptions, code, designs, data, and the apps — is yours, as between you and us ("Your Content"). We claim no ownership.
5.2 Licence to us. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process and display Your Content only as needed to provide, secure and support the Service for you, including sending it to the AI model providers that serve your agents. This licence ends when Your Content is deleted from the Service.
5.3 No training. We do not use Your Content to train AI models, and we choose AI providers who do not use it to train theirs. For your organization's own AI account (5.6), your contract with that provider decides what it may do with Your Content.
5.4 Generated output. AI output may be similar to output others receive, and may include code under open-source licences. You are responsible for checking the licences of dependencies and output you use. We give no warranty that output is original or free of third-party rights.
5.5 Your responsibilities. You are responsible for Your Content and your apps: that you have the rights to use what you put in, that your apps comply with the law (including data protection towards their users, consumer law, accessibility, cookies), and that you follow the Acceptable Use Policy.
5.6 Your own AI account. If your organization has a corporate contract with us, its owners may connect an account the organization holds with an AI provider we support, so that it serves the models they choose. That account, the provider's terms and its charges are yours, under your own contract with the provider. We use the account only on your instruction, for the models and up to the monthly cap your owners set, with short-lived credentials that stay in our AI gateway and never reach your workspaces. Disconnecting it in the dashboard stops our use of it within seconds; removing our access at the provider stops it once the short-lived credentials we hold expire.
5.7 Phone apps and the app stores. You publish your phone apps on the App Store and Google Play from your own Apple Developer Program and Google Play developer accounts. You are the publisher of those apps: you accept the stores' agreements, and you answer for those accounts, for your apps' store listings and for following the stores' rules. As your service provider, and only on your behalf, we build and sign each version of your phone app; for iPhone, with the App Store Connect key your organization connects, we also manage the identifiers, certificates and profiles that signing needs in your Apple account, and upload each version to App Store Connect. You submit each app for review and publish it yourself, in the stores' own consoles. Whether and when a store accepts an app or a version is that store's decision, not ours. The stores' fees are yours and are paid to Apple and Google; our builds are charged as usage (4.5).
6. Personal data
6.1 For your account, billing and use of the Service, we are the controller; see the Privacy Policy.
6.2 For personal data in Your Content and in your apps, you are the controller and we are your processor under the Data Processing Agreement, which is part of these terms.
7. Content rules and how we apply them
7.1 What is not allowed is in the Acceptable Use Policy.
7.2 How we moderate. We do not monitor Your Content generally. We act on notices sent to us, orders from authorities, and problems we detect while running the Service (for example automated checks for abuse of resources). Automated tools may flag content or activity, but decisions to restrict an account or remove content are taken by a person. Our measures are: asking you to fix a problem, disabling access to specific content, an app or an environment, stopping a workspace, suspending an account, and ending the contract.
7.3 Notices. Anyone can report content they consider illegal through Report content. We confirm receipt, decide diligently and objectively, and tell the person who reported what we decided.
7.4 Statement of reasons. If we restrict Your Content or your account, we tell you what we did, why, the facts and rules we relied on, whether automated means were used, and how you can challenge it, unless the law prevents us or the content is deceptive high-volume commercial content.
7.5 Challenging a decision. You can reply to the statement of reasons, or write to legal@oneactor.com, to ask for a review; a person reviews the decision again and tells you the outcome within 10 working days. You can also go to court or, as a consumer, to an ADR entity (Complaints).
7.6 We apply these rules diligently, objectively and proportionately, with regard to the rights and legitimate interests of everyone involved, including freedom of expression.
7.7 Terrorist content. We act on removal orders under Regulation (EU) 2021/784 within one hour of receipt, preserve removed content for six months, and tell the customer concerned unless the authority forbids it. Our policy against terrorist content is part of the Acceptable Use Policy.
8. Availability and support
8.1 We work to keep the Service available but we do not promise any level of availability, and there is no service-level agreement. We may interrupt it for maintenance, security or reasons outside our control, and we will try to announce planned interruptions.
8.2 Support is by email (support@oneactor.com), in English and Portuguese.
8.3 Consumers: the Service must be in conformity with this contract and with the law for as long as you are subscribed; if it is not, you have the remedies of consumer law (bringing it into conformity, a price reduction, or ending the contract), described in section 12.
9. Ending the contract, and your data
9.1 You may stop using the Service and cancel your plan at any time. You may delete a project, and your account, in the dashboard; you can also ask us to delete your account by writing to privacy@oneactor.com from its email address. We delete it within 30 days, except what the law requires us to keep (Privacy Policy, section 3).
9.2 We may end these terms or suspend the Service for you: (a) with 30 days' notice for any reason, refunding unused prepaid amounts — credits you bought and have not used, and the part of a paid plan period after the contract ends; (b) at once, if you seriously or repeatedly break these terms or the Acceptable Use Policy, if the law or an authority requires it, or to prevent serious harm, in which case we tell you why (section 7.4).
9.3 Deleting a project. When you delete a project, its test and production environments, databases and stored keys are deleted at once. Its workspace and code are kept for 10 days, during which you can restore it (test and production start empty after a restore), and then deleted permanently.
9.4 Switching to another provider and getting your data out. You may ask to switch to another provider or to your own infrastructure, or to export your data, at any time (Regulation (EU) 2023/2854, the Data Act, Arts. 23–30). We then:
- give you, within a transition period of at most 30 days after a notice period of at most 2 months that you choose (you may choose a shorter one), your exportable data and digital assets: your project's source code and git history, your designs and project documents, your tickets and agent conversations, your stored configuration (the names of stored keys and other secrets, whose values are never exported), and the contents of your test and production databases and file storage, in common machine-readable formats. You can export them yourself at any time in the dashboard's Settings, except the tickets and agent conversations, which we send you on request;
- keep the Service running during that time and help you reasonably;
- keep your data available for retrieval for at least 30 days after the transition period;
- delete all of it when retrieval ends or switching is complete, and confirm it to you.
Some data is not exportable because it is specific to how our Service works internally or would reveal our trade secrets: our agents' own instructions and configuration, our internal logs and metrics, and the platform's own code. Details and formats: Data location and switching. We charge no fee for switching or export.
9.5 Consumers may also end the contract as consumer law allows (section 12).
10. Warranties
10.1 We provide the Service with reasonable skill and care. Businesses: apart from that and anything the law does not allow us to exclude, the Service is provided "as is"; we do not warrant that it will meet your requirements, be uninterrupted or error-free, or that AI output will be correct, secure, original or fit for a particular purpose.
10.2 Consumers: you have the legal guarantee of conformity for digital services; section 12 applies, and nothing in section 10.1 limits it.
11. Liability
11.1 Nothing in these terms excludes or limits liability for death, physical or moral integrity or health, for non-contractual damage to property, for intent (dolo) or gross negligence (culpa grave), for fraud, or any other liability that the law does not allow to be excluded or limited (Decreto-Lei n.º 446/85, Arts. 18 and 21).
11.2 Businesses: subject to 11.1, (a) we are not liable for loss of profit, revenue, data or goodwill, or for indirect or consequential loss; and (b) our total liability arising from these terms in any 12 months is limited to the amounts you paid for the Service in those 12 months.
11.3 You are liable for your apps, Your Content, and your use of the Service, and you will indemnify us against third-party claims arising from them, except where the claim is caused by our breach. Consumers: this clause applies only as far as consumer law allows.
11.4 Consumers: we are liable under the general law; sections 11.2 and 11.3 do not apply to you except as consumer law allows.
12. Consumer rights
12.1 Withdrawal. You have 14 days from the contract to withdraw without giving a reason (Decreto-Lei n.º 24/2014, Art. 10). If you expressly asked us to start the Service during those 14 days, you pay an amount proportionate to what was provided until you told us (Art. 15), and once the Service has been fully provided with your prior express request and acknowledgement — for example all the credits of a purchase used — the right no longer applies (Art. 17(1)(a)). You can withdraw in the dashboard ("Withdraw from contract here"), by email or with the form; Link's terms also let you cancel the order through Link's support within 14 days of receiving access. Details and the form: Refunds and withdrawal.
12.2 Conformity. If the Service is not in conformity, you can ask us to bring it into conformity, and if we do not or cannot, ask for a proportionate price reduction or end the contract, as provided in Decreto-Lei n.º 84/2021 (Arts. 35–36); clauses excluding these rights are void (Art. 51).
12.3 Complaints and disputes. You can complain to us, in the electronic complaints book (Livro de Reclamações Eletrónico), or go to an alternative dispute resolution entity. See Complaints and ADR.
13. Suspending for non-payment
If a renewal payment fails, Stripe may retry it; your subscription's included benefits stop while it is past due, and the billing hold of section 4.6 applies to a negative balance.
14. Changes to these terms
We may change these terms, for example for new features, legal requirements or security. We tell you about significant changes at least 30 days before they apply, by email and in the dashboard. If you do not agree, you may end the contract before the change applies; unused prepaid amounts are refunded. Changes required by law may apply sooner.
15. Law and courts
15.1 These terms are governed by Portuguese law.
15.2 Businesses: the courts of Funchal have exclusive jurisdiction.
15.3 Consumers: you keep the protection of the mandatory rules of the country where you live, and you may bring proceedings in the courts of that country or of Portugal; we may bring proceedings against you only in the courts of the country where you live (Regulation (EC) No 593/2008 Art. 6; Regulation (EU) No 1215/2012 Arts. 17–19). Consumer disputes of up to the first-instance courts' limit may be referred to arbitration at your choice (Complaints and ADR).
16. General
16.1 If a clause is invalid, the rest stays in force. Not enforcing a right is not a waiver.
16.2 You may not transfer these terms without our consent; we may transfer them to a company that takes over the Service, telling you in advance, provided your rights are not reduced.
16.3 These terms are available in English and Portuguese. If the two differ, the Portuguese version prevails for consumers who live in Portugal, and the English version in every other case.
16.4 We communicate with you by email to the organization's owners and in the dashboard.
